1. Introduction and Parties
This Driver Agreement and Acceptable Use Policy ("Agreement") is entered into by and between Green Yellow Red LLC, a Maryland Limited Liability Company doing business as GYR-Rides ("GYR-Rides," "Company," "Platform," "we," "us," or "our"), and you ("Driver," "you," or "your"), and governs your use of the GYR-Rides software, platform, and driver support services (collectively, the "Services").
The "Effective Date" of this Agreement is the date on which you first access the Services as a Driver.
YOU UNDERSTAND AND AGREE THAT GYR-RIDES MAY MODIFY THIS AGREEMENT FROM TIME TO TIME. BY CONTINUING TO USE THE SERVICES, YOU CONSENT TO ANY AND ALL SUCH MODIFICATIONS.
2. Definitions
- "GYR-Rides Platform" means the proprietary GYR-Rides online transportation network consisting of websites, mobile applications (iOS and Android), wireless platforms, APIs, and any third-party services integrated therewith.
- "GYR-Rides Software" means the GYR-Rides Driver application and any updates thereto provided by GYR-Rides.
- "Rider" or "Passenger" means an individual who requests transportation services through the GYR-Rides Platform.
- "Transportation Services" means the transportation of Riders from pickup to drop-off locations using Driver's personal vehicle.
- "Subscription Fee" means the daily, weekly, or monthly fee paid by Driver to access the Platform, as further described in the SaaS Agreement.
- "Fare" means the amount charged to a Rider for Transportation Services, calculated based on distance, time, and other applicable factors.
3. Nature of Relationship
3.1 Independent Contractor Status
DRIVER IS AN INDEPENDENT CONTRACTOR, NOT AN EMPLOYEE, AGENT, JOINT VENTURER, OR PARTNER OF GYR-RIDES.
Driver acknowledges and agrees that:
- This Agreement does not create an employment relationship, partnership, joint venture, or agency relationship between Driver and GYR-Rides
- Driver is not entitled to any employee benefits, including but not limited to health insurance, retirement benefits, paid time off, or workers' compensation
- Driver is solely responsible for all taxes, including income taxes, self-employment taxes, and any other applicable taxes
- GYR-Rides does not control the manner or method by which Driver performs Transportation Services
- Driver retains complete discretion over when, where, and how long to use the Platform
3.2 No Exclusivity
Driver is free to:
- Use other transportation network platforms simultaneously
- Engage in any other business or employment
- Accept or decline any ride request at Driver's sole discretion
- Determine Driver's own schedule and working hours
3.3 GYR-Rides' Role
GYR-Rides operates solely as a technology platform that:
- Connects Drivers with Riders seeking transportation
- Facilitates payment processing between Riders and Drivers
- Provides the software and technology infrastructure
GYR-RIDES DOES NOT PROVIDE TRANSPORTATION SERVICES AND IS NOT A TRANSPORTATION CARRIER.
4. Driver Requirements and Eligibility
4.1 Minimum Requirements
To use the Platform as a Driver, you must:
- Be at least 21 years of age
- Hold a valid driver's license for at least one (1) year (three (3) years if under 25)
- Be legally authorized to work in the United States
- Own or have legal authorization to operate the vehicle used for Transportation Services
- Maintain valid commercial rideshare insurance at all times (see Section 6)
- Pass a background check conducted by Checkr, Inc. as required by GYR-Rides and applicable law
- Complete phone number verification and enable two-factor authentication (2FA) via SMS
- Meet all vehicle requirements (see Section 5)
- Have a smartphone capable of running the GYR-Rides Driver application
- Maintain an acceptable Driver rating
4.2 Background Check
Driver authorizes GYR-Rides and its third-party background check provider, Checkr, Inc., to conduct the following screenings:
- Criminal background check (national and state)
- Driving record check (Motor Vehicle Report)
- Sex offender registry check
- Identity verification
Driver may be disqualified based on:
- DUI/DWI convictions within the past seven (7) years
- Felony convictions within the past seven (7) years
- Violent crime convictions
- Sexual offense convictions
- Multiple moving violations or at-fault accidents
- Inclusion on any sex offender registry
- Any other findings that indicate a risk to Rider safety

4.3 One Account Policy
Driver may maintain only one active Driver account. Creating multiple accounts is prohibited and grounds for immediate termination.
5. Vehicle Requirements
5.1 Minimum Vehicle Standards
Driver's vehicle must:
- Be no more than ten (10) model years old (or as required by state/local law)
- Have four (4) doors and seat at least four (4) passengers (excluding Driver)
- Be in good operating condition with no cosmetic damage that affects safety
- Pass state vehicle inspection requirements
- Be registered and titled in Driver's name or with proof of authorized use
- Have valid registration and license plates
- Not be a salvage or rebuilt title vehicle
5.2 Vehicle Inspection
Driver must:
- Complete an initial vehicle inspection before activation
- Maintain the vehicle in safe operating condition at all times
- Complete periodic re-inspections as required by GYR-Rides or applicable law
- Immediately report any changes in vehicle condition that affect safety
5.3 Prohibited Vehicles
The following vehicles are not permitted:
- Taxis, marked livery, or commercial vehicles (unless specifically authorized)
- Vehicles with commercial branding or advertising (unless authorized)
- Vehicles with government or official markings
- Motorcycles, scooters, or three-wheeled vehicles
- Vehicles that do not meet state safety standards
6. Insurance Requirements
GYR-Rides is a technology platform only. We do not provide insurance for drivers, passengers, or vehicles. You are solely responsible for obtaining and maintaining your own commercial rideshare insurance at all times.
6.1 Your Vehicle, Your Responsibility
YOUR CAR IS YOUR RESPONSIBILITY. GYR-RIDES DOES NOT INSURE VEHICLES.
As an independent contractor using your personal vehicle to provide Transportation Services, you bear full responsibility for:
- Obtaining appropriate commercial rideshare insurance coverage
- Maintaining said coverage in full force and effect at all times
- All costs associated with your vehicle, including repairs, maintenance, and insurance premiums
- Any damage to your vehicle, regardless of fault or cause
- Any liability arising from the operation of your vehicle
6.2 Minimum Required Coverage
To operate on the GYR-Rides Platform, you MUST maintain insurance coverage that meets or exceeds the following minimums:

RIDESHARE ENDORSEMENT OR COMMERCIAL POLICY REQUIRED: Standard personal auto insurance policies typically EXCLUDE coverage when you are using your vehicle for commercial purposes such as rideshare. You must obtain either: (a) a rideshare endorsement/rider on your personal policy, or (b) a commercial auto insurance policy that covers TNC/rideshare activity.
6.3 Proof of Insurance — Upload and Maintain
YOU MUST UPLOAD PROOF OF INSURANCE AND KEEP IT ACTIVE AT ALL TIMES.
Driver is required to:
- Before Activation: Upload valid proof of commercial rideshare insurance to the GYR-Rides Driver app before your account can be activated
- Continuous Coverage: Maintain current, valid proof of insurance in the Driver app at all times — no gaps in coverage are permitted
- Timely Updates: Upload updated proof of insurance at least seven (7) days before your current policy expires
- Policy Changes: Immediately update your insurance information if you change carriers, policy numbers, or coverage levels
- Upon Request: Provide proof of insurance upon request by GYR-Rides, law enforcement, regulatory authorities, or Riders
6.4 Insurance Expiration or Cancellation — Account Pause
You will not be able to go online, accept rides, or access driver features until valid proof of insurance is uploaded and verified.
- Automatic Pause: If our system detects that your insurance has expired or you fail to upload renewed proof of insurance, your account will be automatically paused
- No Driving: While paused, you cannot log in as available, accept ride requests, or earn fares
- Reactivation: To reactivate your account, you must upload valid proof of insurance meeting all requirements in Section 6.2
- Repeated Lapses: Multiple insurance lapses may result in permanent deactivation at GYR-Rides' sole discretion
6.5 Consequences of Driving Without Valid Insurance
If you provide Transportation Services without valid insurance coverage:
- You are in violation of this Agreement and applicable state and federal law
- Your account will be immediately and permanently deactivated
- You assume all liability for any accidents, injuries, damages, or claims arising from your uninsured operation
- You agree to indemnify, defend, and hold harmless GYR-Rides from any and all claims, lawsuits, damages, judgments, costs, and attorney's fees arising from your failure to maintain required insurance
- GYR-Rides may report your uninsured operation to state regulatory authorities
- You may be personally liable for damages that would otherwise be covered by insurance, which could result in significant financial hardship
6.6 Insurance Verification
GYR-Rides reserves the right to:
- Verify the validity of your insurance coverage with your insurance carrier
- Require additional documentation to confirm coverage
- Reject proof of insurance that does not meet minimum requirements
- Conduct periodic audits of driver insurance compliance
6.7 No Insurance Advice
GYR-RIDES IS NOT AN INSURANCE BROKER, AGENT, OR ADVISOR. WE DO NOT PROVIDE INSURANCE ADVICE. YOU SHOULD CONSULT WITH A LICENSED INSURANCE PROFESSIONAL TO DETERMINE THE APPROPRIATE COVERAGE FOR YOUR SITUATION. GYR-RIDES MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ADEQUACY OF ANY INSURANCE COVERAGE.
6.8 Accident Reporting
In the event of any accident, collision, or incident while using the Platform:
- Ensure the safety of all parties and contact emergency services (911) if needed
- Exchange information with all parties involved
- Document the scene (photos, witness information)
- File a police report
- Report the incident to YOUR insurance company — they are your primary point of contact for claims
- Report the incident to GYR-Rides within 24 hours through the app or by emailing safety@gyr-rides.com
Remember: Because GYR-Rides does not provide insurance, all claims must be filed with YOUR insurance carrier. GYR-Rides cannot process insurance claims on your behalf.
7. Subscription Fees and Payment
Driver's access to the Platform is subject to subscription fees as set forth in the Software as a Service (SaaS) Agreement, which is incorporated herein by reference.
7.1 Subscription Model
To access the Platform, Driver agrees to pay a Subscription Fee according to the plan selected:

Actual fees may vary. Current fees are displayed in the Driver app.
7.2 Driver Earnings
Driver keeps 100% of all Fares collected from Riders. GYR-Rides does not take a percentage of Driver's Fares.
- Fares are paid directly to Driver through the Platform's payment system
- Payments are processed weekly (or as otherwise specified)
7.3 Fare Calculation
Fares are calculated based on:
- Base fare
- Distance traveled (per mile rate)
- Time elapsed (per minute rate)
- Applicable tolls and fees
- Surge pricing (when applicable)
7.4 Taxes
Driver is solely responsible for:
- Reporting all income earned through the Platform
- Paying all applicable federal, state, and local taxes
- Self-employment taxes
- Any other taxes or fees applicable to Driver's business
GYR-Rides will provide tax documentation (e.g., Form 1099) as required by law.
8. Driver Conduct and Acceptable Use
8.1 Professional Conduct
While using the Platform, Driver agrees to:
- Treat all Riders with respect and courtesy
- Maintain a clean and presentable personal appearance
- Keep the vehicle clean, odor-free, and in good condition
- Follow all traffic laws and drive safely
- Follow GPS/navigation to the most efficient route (unless Rider requests otherwise)
- Assist Riders with luggage when reasonable
- Not discriminate against Riders based on race, religion, national origin, disability, sexual orientation, gender identity, or any other protected characteristic
8.2 Prohibited Conduct
Driver agrees NOT to:
- Operate the vehicle while impaired by alcohol, drugs, or any substance that affects driving ability
- Use a mobile device in an unsafe manner while driving
- Transport illegal substances, weapons, or contraband
- Engage in any illegal activity while using the Platform
- Harass, threaten, or harm any Rider, GYR-Rides employee, or other Driver
- Make unwanted physical contact with Riders
- Make inappropriate comments about Riders' appearance, race, religion, or personal characteristics
- Request personal contact information from Riders for non-Platform purposes
- Accept cash payments outside the Platform
- Allow unauthorized persons to drive the vehicle while logged into the Platform
- Misrepresent identity or use another person's account
- Share, forward, or misuse SMS verification or 2FA codes
- Manipulate or defraud the Platform, including fare manipulation or fake rides
8.3 Zero Tolerance Policy
GYR-Rides maintains a ZERO TOLERANCE policy for:
- Driving under the influence
- Physical or sexual assault
- Discrimination or harassment
- Criminal activity
Violation will result in immediate and permanent deactivation.
9. Ratings and Feedback
9.1 Rating System
- After each ride, Riders may rate Drivers on a scale of 1 to 5 stars
- Drivers may also rate Riders
- Ratings help maintain Platform quality and safety
9.2 Minimum Rating Requirement
Driver must maintain a minimum average rating to continue using the Platform. The current minimum rating is 4.5 stars (subject to change).
If Driver's rating falls below the minimum:
- Driver will receive a warning
- Driver may be required to complete additional training
- Continued low ratings may result in deactivation
10. Deactivation and Termination
10.1 Termination by Driver
Driver may terminate this Agreement at any time by:
- Deleting the Driver app
- Using the in-app account deletion feature (Settings > Account > Delete Account)
- Contacting support@gyr-rides.com
- Ceasing use of the Platform
10.2 Deactivation by GYR-Rides
GYR-Rides may temporarily or permanently deactivate Driver's account for:
- Violation of this Agreement
- Safety concerns or complaints
- Failure to maintain insurance
- Low Driver ratings
- Fraudulent activity
- Criminal convictions or driving offenses discovered after activation
- Extended period of inactivity
- Failure to pay Subscription Fees
- Any other reason at GYR-Rides' sole discretion
11. Intellectual Property
The Platform, including all software, content, graphics, logos, trademarks, and other materials, is owned by or licensed to GYR-Rides. Driver receives only a limited, non-exclusive, revocable license to use the Platform as described in this Agreement.
Driver may not:
- Copy, modify, or distribute the GYR-Rides Software
- Reverse engineer, decompile, or disassemble the Software
- Use GYR-Rides trademarks without authorization
- Create derivative works based on the Platform
12. Confidentiality and Data
Driver agrees to keep confidential:
- Rider personal information (name, contact details, location data)
- GYR-Rides business information
- Platform technology and trade secrets
Driver's use of the Platform is subject to the GYR-Rides Driver Privacy Policy.
13. Disclaimers
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
GYR-RIDES MAKES NO GUARANTEE REGARDING:
- The number of ride requests Driver will receive
- Driver's potential earnings
- Continuous or uninterrupted access to the Platform
- The accuracy of fare estimates or calculations
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYR-RIDES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES.
GYR-RIDES' TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT DRIVER PAID TO GYR-RIDES IN SUBSCRIPTION FEES IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
15. Indemnification
Driver agrees to indemnify, defend, and hold harmless GYR-Rides, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Driver's use of the Platform
- Driver's provision of Transportation Services
- Driver's violation of this Agreement
- Driver's violation of any law or regulation
- Any accident, injury, or damage occurring during Transportation Services
- Driver's failure to maintain adequate insurance
- Any tax obligations of Driver
- Driver's negligence or willful misconduct
16. Dispute Resolution and Arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION, administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Montgomery County, Maryland, unless otherwise agreed.
CLASS ACTION WAIVER: DRIVER AGREES TO RESOLVE DISPUTES WITH GYR-RIDES ON AN INDIVIDUAL BASIS ONLY. DRIVER WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.
Opt-Out: Driver may opt out of the arbitration agreement by sending written notice to legal@gyr-rides.com within 30 days of first accepting this Agreement.
17. Account Deletion
In compliance with Apple App Store Review Guidelines and Google Play policies, you may delete your Driver account and associated personal data at any time:
- In-App: Navigate to Settings > Account > Delete Account
- By Email: Contact privacy@gyr-rides.com
Upon account deletion:
- Your Driver account will be deactivated immediately
- Personal data will be deleted within 30 days
- Outstanding earnings will be paid according to the normal payout schedule
- Certain records (ride history, payment records, background check results) may be retained as required by law — see the Driver Privacy Policy for retention details
- Account deletion constitutes termination of this Agreement and the SaaS Agreement
18. Modifications
GYR-Rides may modify this Agreement at any time. Changes will be posted in the Driver app or sent via email. Continued use of the Platform after such notice constitutes acceptance.
If Driver does not agree to modified terms, Driver must stop using the Platform and terminate this Agreement within 30 days.
19. General Provisions
- Governing Law: This Agreement is governed by the laws of the State of Maryland, without regard to conflict of law principles.
- Venue: For disputes not subject to arbitration, Driver consents to exclusive jurisdiction and venue in the state and federal courts located in Montgomery County, Maryland.
- Entire Agreement: This Agreement, together with the Privacy Policy, the Driver Privacy Policy, the SaaS Agreement, and any other policies incorporated by reference, constitutes the entire agreement between Driver and GYR-Rides.
- Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Assignment: Driver may not assign this Agreement without GYR-Rides' prior written consent. GYR-Rides may assign this Agreement without restriction.

21. Acknowledgment
BY CLICKING "I AGREE," CREATING A DRIVER ACCOUNT, OR USING THE GYR-RIDES PLATFORM AS A DRIVER, YOU ACKNOWLEDGE THAT:
- You have read and understood this Agreement
- You agree to be bound by all terms and conditions
- You are an independent contractor, NOT an employee of GYR-Rides
- GYR-RIDES DOES NOT PROVIDE INSURANCE — You are solely responsible for maintaining your own commercial rideshare insurance
- You meet all Driver eligibility requirements
- You authorize GYR-Rides and Checkr, Inc. to conduct background checks and consent to receiving SMS notifications from Checkr regarding your background check status
- You consent to SMS-based phone verification and two-factor authentication (2FA) via Twilio
- You will comply with all applicable laws and regulations
